Terms of Service

Effective August 17, 2026. These terms govern your use of EDISQ. They're written to be read.

1. The agreement

These Terms of Service are a contract between you (the customer, and the company you represent) and Damani Data, the Atlanta, Georgia company that operates EDISQ at edisq.com and app.edisq.com ("EDISQ", "we", "us"). By creating an account or using the service you accept these terms. If you don't accept them, don't use the service.

2. The service

EDISQ is a software-as-a-service platform for electronic data interchange (EDI): it translates business documents between your systems' formats and X12 EDI, transmits them to and from your trading partners, validates them against partner requirements, and gives you tools to view, test, and monitor them. We add partners, connectors, and features over time; we may also change or retire features with reasonable notice.

3. Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and your API keys. Notify us promptly if you believe an account or key is compromised.

4. Free tier and billing

Pricing is per document. One document is one inbound or outbound EDI transaction set (one 850, one 810, one 856, and so on). Sandbox and test documents are not billed.

Your first 25 production documents each calendar month are free — every month, with every feature, no card required. Above that, documents are billed on a marginal tier ladder published at edisq.com/pricing: each band prices only the documents inside it, like tax brackets. There are no monthly fees, setup fees, per-partner fees, or mapping fees.

Usage is metered continuously and invoiced monthly in arrears. Published prices may change; changes apply from the next billing month and never retroactively. Stated prices exclude any applicable taxes, which you are responsible for. If invoices go unpaid after reasonable notice, we may suspend document processing until the balance is settled.

5. Acceptable use

Use the service only to trade legitimate business documents. You may not: use the service for unlawful purposes; transmit malware or content you have no right to transmit; probe, disrupt, or overload the service or other tenants; misrepresent your identity to trading partners; resell the service without our written agreement; or attempt to access another tenant's data. We may suspend accounts that endanger the platform or other customers, and will tell you why.

6. Your data

You own your EDI data. The documents you send and receive through EDISQ, and the business data inside them, are yours. We process them solely to provide the service: translation, transmission, validation, storage, display, and metering. We keep the original payload of each document immutable so you always have an authoritative record. We do not sell your data and we do not use it to compete with you. Aggregated, de-identified operational metrics (for example, platform-wide document volumes) may be used to run and improve the service.

7. Availability

We run EDISQ to be continuously available and publish current component status at edisq.com/status. The service is nonetheless provided without a guaranteed uptime level: maintenance, third-party outages (including trading partners' own systems and networks), and failures beyond our control can interrupt it. We are not responsible for a trading partner's rejection of a document that was transmitted as you instructed.

8. Intellectual property

We own the service — the software, partner maps, and content we publish. You get a non-exclusive, non-transferable right to use it while these terms are in effect. Feedback you send us may be used without obligation.

9. Termination

You can stop using EDISQ and close your account at any time; per-document billing means there's no contract term to buy out. We may terminate accounts for material breach of these terms if the breach isn't cured within 14 days of notice, or immediately for abuse under section 5. Sections 6, 10, 11, and 12 survive termination.

10. Disclaimer of warranties

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You are responsible for verifying that documents meet your trading partners' business requirements before relying on them.

11. Limitation of liability

To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and our total aggregate liability arising out of the service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.

12. Governing law

These terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules. Courts located in Fulton County, Georgia have exclusive jurisdiction over disputes arising from these terms, and both parties consent to that venue.

13. Changes to these terms

We may update these terms. Material changes will be announced by email or in the app at least 14 days before they take effect; continuing to use the service after that date is acceptance. The current version always lives at edisq.com/terms with its effective date at the top.
